Finder’s Fee Agreement Regarding Real Property References
This agreement is hereby made on the ____________ day of __________________________, 20______. between __________________________________________, referred to herein as Finder, and New Tech Properties, LLC, a Limited Liability Company organized and existing under the laws of the state of Georgia with its principal office located at 2305 Arden Creek Drive, Bethlehem Georgia 30620, referred to herein as the Company.
For and in consideration of the mutual covenants contained in this Agreement, and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. Finder understands and agrees that they are working as an independent contractor at their own expense and risk to find information about Real Estate properties that are for sale. The Finder will submit landowner names, phone numbers, and property addresses to the Company as Leads.
2. If such Lead is not already registered with the Company nor listed with a Real Estate Broker and the Lead results in a purchase with either the Company or Company’s assigns, the Finder will, in consideration for their efforts, receive a $10,000.00 Finder’s Fee from the Company upon the Company’s successful closing of the purchase transaction for the lead(s) provided by the Finder.
3. Said Finder’s Fee shall be due and payable in full by the Company at such time as a Purchase Agreement between the Company or Company’s assigns and the owner of the Real Estate is fully executed and closed. Prior to any Finder's Fee payments being made by the Company to the Finder, the Finder must provide to the Company with a signed and dated IRS W-9 Form.
4. Finder hereby understands that the Company is under no obligation to purchase any Real Estate from any Leads that may be introduced to the Company by the Finder. No Finder's Fee shall be due and payable on such leads that the Company decides, at their sole discretion, not to purchase.
5. Finder understands and agrees that they will only provide information such as owner names, phone numbers, and property addresses to the Company. Finder will under no circumstances discuss the details of any transaction with anybody other than the Company or anybody approved by the Company, nor shall the Finder provide any services that would require a Real Estate license, unless they show proof to the Company that they are the holder of a valid active Real Estate License in the state where the property is located.
6. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Georgia.
7. Mandatory Arbitration. Any disputes under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall select a third. The arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
8. Entire Agreement. This Agreement shall constitute the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this Agreement shall not be binding upon either party except to the extent incorporated in this Agreement.
9. Modification of Agreement. Any modification of this Agreement or additional obligation assumed by either party in connection with this Agreement shall be binding only if placed in writing and signed by each party or an authorized representative of each party.
10. Compliance with Law. In performing under this Agreement, all applicable governmental laws, regulations, orders, and other rules of duty-constituted authority will be followed and complied with in all respects by both parties.
